Job Description

Reporting to the Chief Legal Officer, the Head of Legal Affairs is responsible, among other accountabilities, for providing hands-on legal commercial support to medmix Drug Delivery business segment and provide corporate and governance legal support to medmix as a Swiss listed company.

Main accountabilities

1. Commercial

Be accountable to provide direct legal support to the Head of the Drug Delivery segment (Germany based) and the leadership teams (globally based) in business and commercial activities, strategy deployment and geographical expansion. Support other business segments or key initiatives as required.
Support contractual arrangements, establishment of partnerships, frame arrangement, development and manufacturing of exclusive products and associated services.
Be the sparring partner to leadership team in strategic projects, commercial or otherwise. Train business teams on contracts, risk mitigation and contract management, coordinate contracts life cycle management.
Organize and supervise the network of outside counsels globally to ensure that local operations are appropriately supported. Manage disputes and litigation as appropriate

2. Corporate, governance and M&A:

Take an active role in corporate and governance matters of medmix AG as Swiss listed company, including AGM preparation and policy deployment, working closely with internal and external stakeholders.
Manage and coordinate the legal entities at global level with the support of a Paralegal.
Provide hands on support to key transactions (partnerships, ventures, acquisitions, and corporate optimization), working closely with Legal and M&A colleagues.
Support medmix global operations as requested.

Qualifications

Qualified attorney with a demonstrated broad experience in commercial and corporate matters in a very international context.
12+ years of relevant experience with a mix of international companies and law firms.
Hands-on legal experience for international groups serving the medical devices, drug delivery, or pharma (or other regulated sectors) a strong plus.
Actual experience in handling corporate matters, including preparing the Annual General Meeting, address regulatory aspects of Swiss listed companies.
Demonstrated ability to support mergers and acquisitions.
Gravitas, stamina, and executive presence with colleagues and third parties.
Strong commercial acumen, appealed by global manufacturing and sales organizations.
Collaborative, positive mindset, empathy, and strong business partner attitude.
Good strategic-pragmatic mix, reliable, autonomous, agile, driven with sharp attention to details.
Enjoy collaborating with diverse colleagues, able to operate globally successfully thanks to its cultural awareness.
Sense of humor a strong plus.
English & German full business and legal fluency essential.
